Purpose of the Agreement

This Supplier & Contractor Agreement ("Agreement") governs the relationship between Xheris and any individual or legal entity registering as a Supplier or Contractor (collectively referred to as "Service Provider") on the Xheris platform.

By creating a professional account on Xheris, you acknowledge and agree to the terms below.

Scope of Services

Xheris provides an online platform enabling:

For Suppliers

Product Marketplace

List, promote, and sell products or materials related to property maintenance and construction.

For Contractors

Service Management

Receive, manage, and execute service requests from property owners, tenants, or managers.

Important: Platform Role

Xheris acts solely as an intermediary platform, not as an employer, reseller, or principal contractor.

Registration & Eligibility

To register as a Supplier or Contractor, you must:

  • Be at least 18 years old or a legally registered entity
  • Provide accurate, complete, and up-to-date information (including business registration, tax number, and contact details)
  • Comply with all applicable local laws, licensing, and insurance requirements
Account Verification

Xheris reserves the right to verify or suspend any account that fails to meet these conditions.

Responsibilities of Service Providers

Contractors agree to:

  • Provide services in a professional, compliant, and safe manner
  • Respect agreed deadlines and maintain transparent communication with clients
  • Upload accurate quotations and invoices using the platform tools
  • Hold valid liability insurance covering work performed through Xheris

Suppliers agree to:

  • Provide genuine and compliant products
  • Ensure accuracy of prices, stock availability, and technical data
  • Fulfil orders promptly and communicate delivery timelines
  • Handle warranties, returns, and replacements directly with buyers

Platform Usage & Fees

  • Registration on Xheris may be free or subscription-based depending on your chosen plan
  • Xheris may charge commissions or transaction fees for completed orders or payments processed via integrated payment gateways (e.g., Stripe)
  • Full details of fees are provided at the time of plan selection or order confirmation

Payments

  • Payments between users are processed securely via third-party gateways (e.g., Stripe)
  • Xheris does not hold, guarantee, or manage any funds between parties
  • Each party is responsible for their own tax obligations (VAT, income, social contributions, etc.)
Tax Responsibility

You are solely responsible for all tax declarations and payments related to your activities on the platform.

Ratings & Reviews

  • After each transaction or intervention, clients may rate or review the Supplier/Contractor
  • Xheris may display these reviews publicly to maintain trust and transparency
  • You may request the removal of demonstrably false or defamatory reviews, subject to Xheris' review and verification process

Positive reviews and high ratings help you stand out and attract more clients on the platform.

Intellectual Property

  • All logos, names, layouts, and designs related to Xheris remain the exclusive property of Xheris OÜ
  • Suppliers and Contractors retain ownership of their respective brand assets but grant Xheris a non-exclusive, royalty-free license to display their name, logo, and content within the platform

Data Protection & Confidentiality

  • Xheris complies with the EU General Data Protection Regulation (GDPR)
  • By using the platform, you consent to Xheris processing your business and personal data solely for operational and legal purposes
  • You agree not to misuse or share client information obtained through the platform

Limitation of Liability

Xheris is not a party to contracts made between users and shall not be held liable for:

  • Service quality or completion delays
  • Product defects or damages
  • Financial losses resulting from misuse of the platform
Dispute Mediation

However, Xheris will cooperate to mediate disputes and may suspend or terminate accounts for repeated misconduct.

Termination

Xheris reserves the right to suspend or terminate a Supplier or Contractor account in the event of:

  • Repeated client complaints
  • Fraudulent activities
  • Non-compliance with this Agreement or local law

Users may terminate their account at any time through written notice or the platform's profile settings.

Amendments

Xheris may update this Agreement periodically. Continued use of the platform after changes take effect constitutes acceptance of the new terms.

Governing Law

  • This Agreement is governed by the laws of Belgium and the European Union
  • Any disputes arising hereunder shall be submitted to the competent courts of Brussels, Belgium
